1. Agreement and Scope
These Terms of Use apply to Revvie clients, subscribers, businesses, and authorized users who purchase, access, or use Revvie services, including reservation systems, booking tools, SMS automations, CRM workflows, review requests, reputation management, AI assistants, Voice AI, websites, landing pages, dashboards, integrations, and related services.
These Terms of Use may be incorporated into client proposals, order forms, invoices, onboarding documents, or agreements. By signing an agreement, approving a proposal, paying an invoice, activating services, or continuing to use Revvie, the client agrees to these Terms of Use.
2. Services Provided
Revvie provides business automation and customer communication systems that may include setup, configuration, software access, AI-assisted communication tools, SMS workflows, Voice AI, booking and reservation tools, review request automations, reporting, websites, dashboards, integrations, and support as described in the applicable proposal or plan.
3. Client Responsibilities
The client is responsible for providing accurate business information, pricing, menus, services, hours, policies, booking rules, staff instructions, contact information, brand assets, and any other information required to configure the system.
The client is responsible for reviewing and approving customer-facing content, campaigns, automations, AI instructions, offers, and messages before launch where approval is requested. The client is also responsible for ensuring that its use of Revvie complies with applicable laws, industry rules, carrier rules, and customer consent requirements.
4. SMS Usage Charges
The client understands and agrees that SMS usage may be billed separately from the monthly subscription or plan fee. Unless otherwise stated in the applicable proposal or service agreement, the client authorizes Revvie to charge approximately $0.02 CAD per SMS sent or processed through the Revvie system, plus applicable taxes.
SMS billing may apply to confirmations, reminders, automations, review requests, marketing messages, customer replies, staff notifications, AI-assisted messages, and other SMS traffic connected to the client’s Revvie account. Long messages, media messages, carrier fees, premium channels, or provider-specific billing rules may result in additional or adjusted charges.
5. Voice AI Usage Charges
If the client selects the Platinum plan or any plan, add-on, or agreement that includes Voice AI, the client understands and agrees that Voice AI usage may be billed by the minute. Unless otherwise stated in the applicable proposal or service agreement, the client authorizes Revvie to charge approximately $0.05 CAD per Voice AI minute, plus applicable taxes.
Voice AI billing may apply to inbound calls, outbound calls, call transfers, AI-handled calls, AI call summaries, call processing, testing, and other phone activity connected to the client’s Revvie Voice AI setup.
6. Payment Authorization
The client authorizes Revvie to charge the payment method on file for subscription fees, setup fees, SMS usage, Voice AI usage, additional usage, premium messaging channels, custom work, integrations, taxes, and any other approved or applicable charges under the selected plan or agreement.
Usage-based charges may be billed monthly, on the next invoice, when usage thresholds are reached, or as otherwise stated in the proposal or agreement. Amounts are payable in Canadian dollars unless otherwise stated.
7. Rate Updates and Third-Party Costs
SMS, Voice AI, phone, carrier, AI, messaging, and platform costs may change due to third-party provider pricing, carrier rules, usage patterns, or plan changes. Revvie may update usage rates with reasonable notice. Continued use of the affected services after notice means the client accepts the updated rates.
8. Consent, Compliance, and Customer Lists
The client is responsible for ensuring it has the proper consent, permission, and legal basis to contact customers by SMS, phone, email, chat, social messaging, or other channels. The client must not upload, import, or use customer lists that were collected unlawfully or without the required consent.
The client must honor unsubscribe requests, opt-out requests, privacy requests, and customer communication preferences. Revvie may suspend messaging or automations if misuse, carrier violations, complaints, or compliance risks are detected.
9. AI Output and Human Review
AI-assisted tools may generate replies, summaries, recommendations, classifications, or campaign drafts. The client understands that AI output may not always be complete, accurate, or appropriate. The client is responsible for reviewing important outputs, business-critical information, pricing, offers, legal statements, and customer-facing messages before relying on them.
10. No Guaranteed Results
Revvie may help automate bookings, follow-ups, reviews, customer engagement, marketing, reputation management, and operational workflows, but Revvie does not guarantee specific revenue, reservations, sales, rankings, reviews, customer responses, deliverability, AI visibility, search results, or business outcomes.
11. Intellectual Property and License
Revvie retains ownership of its software, dashboards, workflows, automations, prompts, templates, systems, code, documentation, designs, and technology. The client receives a limited, non-transferable license to use the configured Revvie services while the client’s account is active and in good standing.
Unless otherwise agreed in writing, custom configurations, reusable templates, workflows, prompts, and system designs created by Revvie remain Revvie intellectual property and may be reused or adapted by Revvie for other clients.
12. Suspension or Termination
Revvie may suspend or terminate services for non-payment, misuse, unlawful activity, abusive messaging, compliance risks, carrier violations, platform abuse, security concerns, or breach of these Terms of Use. Upon cancellation or termination, access to services, dashboards, phone numbers, automations, AI tools, and integrations may be disabled.
13. Limitation of Liability
To the fullest extent permitted by law, Revvie is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost bookings, lost data, customer complaints, business interruption, or loss of goodwill.
14. Governing Law
These Terms of Use are governed by the laws of the Province of Quebec, Canada. Any disputes shall be handled in the courts of Quebec unless otherwise agreed in writing.
